By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

Hakuya Technologies provides technology solutions including:

• Web development and design services
• Mobile application development
• Technology consulting and support
• Related software and services

User accounts

To access certain Services, you may need to create an account. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

Acceptable use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Use our Services to compete with us

Payment terms

For paid Services, the following terms apply:

• Fees are due as specified in your service agreement
• All fees are non-refundable unless otherwise stated
• We may change our fees with reasonable notice
• You are responsible for all applicable taxes
• Failure to pay may result in service suspension

Intellectual property

The Services and their original content, features, and functionality are owned by Hakuya Technologies and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

For custom development projects, intellectual property rights will be specified in the individual service agreement.

Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Services, to understand our practices.

Service availability

We strive to provide reliable Services but cannot guarantee uninterrupted access. We reserve the right to:

• Modify or discontinue Services with reasonable notice
• Perform maintenance that may temporarily affect availability
• Suspend Services for violations of these Terms

Limitation of liability

To the maximum extent permitted by law, Hakuya Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

Indemnification

You agree to defend, indemnify, and hold harmless Hakuya Technologies and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will cease immediately.

Governing law

These Terms shall be interpreted and governed by the laws of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Changes to terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Entire agreement

These Terms constitute the sole and entire agreement between you and Hakuya Technologies with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
